These Terms of Service ("Terms") govern your access to and use of the Dave platform, website, and related services (collectively, the "Service") provided by Dave ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, joining our waitlist, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Dave is an AI-powered DevOps automation platform that assists with infrastructure management, CI/CD pipeline configuration, Kubernetes orchestration, monitoring, security compliance, and cloud cost optimization. The Service operates with a human-in-the-loop approval model — Dave proposes changes and you review and approve before any modifications are applied to your infrastructure.
3. Early Access and Waitlist
The Service is currently in early access. By joining the waitlist, you provide your email address to receive updates about availability. Early access features may be incomplete, subject to change, or discontinued at our discretion. We make no guarantees about the timeline for general availability.
4. Account Responsibilities
You are responsible for:
- Maintaining the security of your account credentials and API keys
- All activities that occur under your account
- Ensuring that your use of the Service complies with applicable laws and regulations
- Reviewing and approving all infrastructure changes proposed by Dave before deployment
- Maintaining appropriate backups of your infrastructure configurations
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Deploy or manage infrastructure for illegal purposes
- Attempt to gain unauthorized access to systems or networks
- Interfere with or disrupt the Service or its infrastructure
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to compete with Dave or create a competing product
6. Cloud Provider Credentials
To use the Service, you may grant Dave access to your cloud provider accounts (e.g., AWS, Azure). You acknowledge that:
- You are responsible for the permissions and access levels you grant to Dave
- We recommend following the principle of least privilege when configuring access
- You should review all proposed changes before approving them
- We are not responsible for costs incurred by actions you approve through the platform
7. Intellectual Property
The Service, including its design, code, algorithms, documentation, and branding, is the exclusive property of Dave and is protected by intellectual property laws. Your infrastructure code, configurations, and data remain your property. We do not claim ownership of any content you create or manage through the Service.
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.
9. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim
- We are not responsible for infrastructure failures, data loss, or service disruptions resulting from changes you approved through the platform
10. Indemnification
You agree to indemnify and hold harmless Dave, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
Either party may terminate the relationship at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export your data before termination takes effect.
12. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date and, where possible, by email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Delaware.
